Lawrence Gay, an appellant sued the Super Market for not declaring a dividend for the prior year. Moreover, he justified that the supermarket were not acting in good faith and using an unfair mean to force him to sell his interest in the business to the supermarket .Whereas, the supermarket claimed that the decision was not made out of ill-will rather was made because the company incurred losses due to increased competition and incurred high expansion costs.

Mr. Gay has a strong allegation but the court found that Gay failed to present any evidence that the corporate decision was motivated by ill-will toward him. In the absence of any evidence, the court was unable to judge whether the decision to pay is motivated by ill-will or made out of the fact presented by the supermarket.

Therefore, it’s a Gay’s responsibility to show evidence for ill-will or wrongdoing motives of the supermarket
