Question

Bill offers to sell to Sally 1000 boxes of nails, but they both forget to state a delivery date for the nails. The date is something that can be easily determined based on their past dealings with each other. All other material terms of the contract are present. Sally accepts the offer, but later wants to back out of the deal, arguing that the offer was indefinite since there was no delivery date.

Is there a contract here? Why or why not.

ISSUE:

ANALYSIS:

CONCLUSION:

Explanation / Answer

There is a contract here in this case but as this is a time sensitive contract because it is a sales transaction process, the date of delivery is very important and therefore the court may actually determine this as an invalid contract. In case if time sensitive contracts this is a very common aspect, where this mandatory.

Issue : the primary issue in this case is the validity and justification if the contract and if that is valid or not in that context.

Analysis: as conveyed that in case of a time sensitive contract, if there is no date mentioned the court can determine the contract to be an invalid one.

Conclusion - I believe that the data needs to be mentioned in such a contract because without the date, the point of delivery or doing bsuiness is not all valid, hence that is mandatory in order to make the contract valid.
