Explanation / Answer

I ‘am working as a Company Secretary and so will be answering this question in this prospective.

In my profession, we see the compliances as to the secretarial and legal matters of the Company. We have to obtain the different licenses from the Government case to case basis as and when required whenever the company wants to start the project or business. Therefore, we are given an information that the company would like to enter into this market segment or company wants to establish its business in another company, what all have to do and etc. We start by doing market re-search of that particular segment, thereafter we check the law and compliance exists there, restrictions, fees, documents, requirements and timelines. Accordingly, we make a presentation to the board of directors and thereafter we initiate the project assigned.

To prove the accuracy, in legal terms, our documents must be accurate and confirming to the law of land and companies Memorandum and articles of association. Therefore, our accuracy is proved if according to the law and as per the policy of the Company. Everything is written so one won’t doubt it’s credibility as ignorance of law is no excuse.

We research via reading various acts and rules and refer the notice and circulars of the Government. We can even take guidance from our seniors in the same profession for tried and tested results. We can refer solved and declared cases of the Supreme court and high court.
