Fresh Installation:

In fresh installation fresh copy of operating system without any clutter is obtained. Fresh install requires formatting the drive in which operating system is installed previously, that causes loss of data in that drive. Fresh install works without any problems.

Upgrade:

Upgrades have often caused problems. Upgrade installs perform more slowly than clean installs. Upgrading the operating system will not result in loss of any data. Files that haven’t used in years, registry entries created by long since-uninstalled programs, and other junk will remain on your fresh copy of Operating system.

Reasons that drive one to choose one installation type over the other:

If someone does not want to lose any data in his /her system then upgrading the existing operating system is recommended.

If losing the data in the drive that has operating system pre-installed can be ignored and fresh copy of operating system without any minor problems then upgrade is recommended.
