i need to know what is the answer to this question and how to find the inform from proxy statement ??
Problem Set 1 1. Download proxy statements (DEF 14A filings) for Tesla Inc and Ford Motor Co, from the U.S. Securities and Exchange Commission webpage ar ar As an example: In the box "Company Name" enter Tesla, Inc You can filter the filing types in the box "Filling Type". Type: DEF 14A Open and save the filing DEF 14A (filing 2018-04-26) Follow the same steps for Ford Motor CO, and save the DEF file (Form DEF 14A, Filling 2018-03-29) In these two proxy statements you can find the information to answer the following questions Q1. Agency problems arise when the interests of managers and owners differ. These conflicting goals are more aligned when managers hold more equity in the firm (managers are also shareholders) Consider only the CEO ownership (beneficial ownership) that you can find in the proxy statements. Explain which firm, Tesla or Ford, has more agency problems. Q2. Agency problems are less relevant when managers work in the interests of shareholders. Managers work harder when they know that they can be fired if they fail to do their job properly. One way they can be fired is if another firm acquires their firm and fires them. Potential acquirers would like to remove management and directors. However, potential buyers may be discouraged since it is difficultExplanation / Answer
Ans. Hi, You can always find the required information in tthe following section of the Proxy statement(DEF 14 A report):
Beneficial Onwership Reporting Compliance (Sc 16A).
Now looking at the data for both the companies it is evident that Tesla has more agency problems. Reason being:
Mr Elon Musk holds 21% of all outstanding Common Equity Stocks however Mr James P Hackett (CEO of Ford) owns only 471,352 common shares of all outstanding shares which is very very less.
Hence Tesla has more Agency problems.
